These terms are the agreement between your company and Transitive for the use of the Transitive website, Workspace, API and assistant (the “Service”). Please read them. By creating an account, signing an order form or using the Service, your company accepts them.
A Spanish version is available. If the two versions differ, the Spanish version prevails.
1.Who we are
Transitive is operated by José Antonio Jiménez Aldana, an individual registered with the Mexican tax authority (SAT) for business activity under the trade name JAANTONIO (“Transitive”, “we”, “us”). Our address is Col. Ciudad del Sol, C.P. 76116, Querétaro, Qro., México. You can reach us at support@transitive.app.
If Transitive becomes a company, that company will take our place in this agreement. We will tell you before it happens.
2.Business use only
The Service is for businesses, such as freight forwarders and customs agencies. It is not for personal or household use. The person who accepts these terms confirms that they can bind the company they act for. “You” means that company.
A signed order form or proposal can add to these terms. If an order form and these terms differ, the order form prevails for that order.
3.The Service
Transitive automates fiscal documents that start in CargoWise. In short:
- CargoWise sends each fiscal document to Transitive through eAdaptor Next.
- Transitive reads the data and its related documents and decides whether the document needs a CFDI. If a related document is missing, Transitive waits for it and continues when it arrives.
- Transitive sends the document to a SAT-authorized certification provider (a PAC), which stamps the CFDI.
- Transitive returns the PDF and the XML to eDocs Manager in CargoWise.
We improve the Service all the time. We may add, change or remove features. We will not remove a core feature you pay for during your contract term without telling you first.
4.Accounts and access
You decide who in your company has access. Keep sign-in codes, API keys and connection credentials private. You are responsible for what happens under your accounts and keys. Tell us right away at support@transitive.app if you think someone used them without permission.
5.Your fiscal responsibilities
Transitive is software. It is not a tax advisor, a PAC, an accountant or a customs broker. You remain responsible for your tax obligations, including:
- The accuracy of the data in CargoWise and in your settings, such as tax IDs (RFC), tax regimes, addresses and amounts.
- Keeping your digital seal certificate (CSD) valid. You authorize us to use it only to stamp CFDIs on your behalf.
- Reviewing what Transitive tells you to fix and fixing it in CargoWise.
- Keeping your CFDIs and supporting records for as long as the tax law requires.
The PAC and the SAT run their own systems. We are not responsible for their outages, rejections or rule changes, but we will tell you when they affect your documents.
6.Your data
Your data stays yours. You give us permission to store, process and send it only to provide, secure and support the Service for you. We handle personal data as described in our Privacy Policy.
You confirm that you may share the data you send us, including the personal data of your own clients, and that you have given any notices the law requires.
7.The assistant
The assistant answers questions from the documents in your account. Its answers can be wrong or incomplete. Check important answers before you act on them.
Neither we nor our AI provider train AI models on your data. The assistant uses your data only to answer your team.
8.Contracts, credits and payment
- You contract the Service for a yearly term, at the price in your order form.
- Stamping uses prepaid credits. A stamp uses one credit. If a stamp fails or is cancelled before it completes, the credit returns to your balance.
- Credits do not expire while your account is open.
- You can pay by card through Stripe or by bank transfer. Prices do not include taxes such as IVA, which we add as the law requires.
- Payments and credits are not refundable, except when we end the Service without cause or the law requires a refund. In those cases we refund unused credits.
- We tell you about price changes at least 30 days before they apply. They apply from your next term.
9.Acceptable use
Do not use the Service to:
- Issue false, simulated or fraudulent fiscal documents.
- Break the law or the rights of others.
- Access data or accounts that are not yours, or test our security without our written permission.
- Overload, disrupt or reverse-engineer the Service, or resell it without our agreement.
We may suspend access that puts the Service, other customers or the law at risk. When we can, we tell you first and give you time to fix it.
10.Other services
The Service connects to systems we do not control, such as CargoWise, the PAC, the SAT and your email. Your use of those systems follows their own terms. We are not responsible for them.
11.Confidentiality
Each of us will keep the other’s non-public information confidential and use it only for this agreement. This does not cover information that is public, that the other party already had, or that the law or an authority requires us to share.
12.Intellectual property
We own the Service, its software and its design. You get the right to use it for your business during your contract. If you send us ideas or feedback, we may use them without any obligation to you.
13.Term and termination
Your contract runs for the term in your order form and renews for another year unless either of us gives notice at least 30 days before it ends.
Either of us may end the contract if the other seriously breaks these terms and does not fix it within 30 days of written notice. When the contract ends, you can export your PDFs and XMLs. What happens to your data after that is in our Privacy Policy.
14.Disclaimers
We work hard to keep the Service accurate and available, but we provide it “as is”. Unless your order form says otherwise, we do not promise that it will be uninterrupted or free of errors.
15.Limitation of liability
Our total liability under this agreement is limited to the amounts you paid us in the 12 months before the event that caused it.
Neither of us is liable for indirect or consequential damages, such as lost profits, lost business or fines that come from your own data or obligations. These limits do not apply where the law does not allow them, such as for fraud or wilful misconduct.
16.Changes to these terms
We may update these terms. We will post the new version here and email your account owners at least 30 days before a material change applies. If you do not accept it, you may end your contract before it applies.
17.Governing law
These terms follow the federal laws of Mexico. Any dispute goes to the competent courts of Mexico City. Both of us give up any other jurisdiction that could apply because of our addresses now or in the future.
